Terms and Conditions

Last updated: 13 May 2026. By placing an order, accessing this website, or engaging Ciobanu Labs ("we", "us", "our") for any 3D modeling, animation, or related digital service, you ("Client") agree to these Terms and Conditions.

1. Services

We provide custom 3D assets, animation, and visualisation services as described on the website and as agreed in writing for each project. The exact deliverables, timelines and price are defined in the order confirmation or written quote.

2. Orders and Acceptance

An order is placed by submitting the checkout form on this website or by accepting a written quote. The contract is formed when we send a written confirmation. We reserve the right to refuse any order, for example for incomplete information, suspected fraud, or scope outside our expertise.

3. Pricing and Payment

All prices are quoted in EUR and, where applicable, exclude VAT, which is added at checkout based on your jurisdiction. Payment is processed securely through Stripe (Stripe Payments Europe, Ltd.) or another PCI-DSS compliant payment processor. We do not store full card details on our servers.

Unless otherwise agreed, projects require a non-refundable deposit (typically 50%) before production starts, with the balance due on delivery. Late payments may incur statutory default interest under § 288 BGB.

4. Right of Withdrawal (EU Consumers)

If you are a consumer resident in the EU, you generally have a 14-day right of withdrawal under Directive 2011/83/EU. This right does not apply to digital content or custom services that have begun production with your express consent and acknowledgement that the right of withdrawal is thereby lost. Business clients (B2B) are not covered by this right.

5. Intellectual Property

Until full payment is received, all work product remains our property. Upon final payment, we grant the Client an exclusive, transferable, worldwide license to use the final delivered assets for the purposes agreed in the order. Source files, working files and pre-production assets remain our property unless explicitly purchased.

We retain the right to display non-confidential excerpts of the work in our portfolio and case studies unless an NDA states otherwise.

6. Client Materials

You warrant that any references, logos, or assets you provide are owned by you or properly licensed and that we may use them solely to deliver the project. You indemnify us against third-party claims arising from materials you supply.

7. Warranties and Liability

Services are provided with reasonable skill and care. To the maximum extent permitted by law, our total aggregate liability for any claim is limited to the fees paid for the specific project giving rise to the claim. We are not liable for indirect, incidental or consequential losses, including loss of profits, data or goodwill. Nothing in these terms limits liability for fraud, gross negligence or intent.

8. Confidentiality

Each party will keep confidential information shared by the other confidential and use it only to perform the contract.

9. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control (natural disasters, infrastructure outages, war, government action, pandemics).

10. Termination

Either party may terminate the contract for material breach not cured within 14 days of written notice. On termination, you pay for all work performed up to the termination date.

11. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for B2B disputes is Löhne, Germany. Consumers may also bring claims in their country of residence. The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr; we are not obligated and do not commit to participate in dispute resolution proceedings before a consumer arbitration board.

12. Changes

We may update these Terms. The version in force on the date of your order applies to that order.
